These Terms & Conditions govern the access of our digital perimeters and all professional validation services provided by Fusion Frequency LLC d/b/a Human Powered Audit (“we,” “our,” or “us”). By executing a task order, submitting an RFP, or accessing our systems, you explicitly agree to these terms.

1. Technical Services Provided

We provide independent, outside-in, Human-in-the-Loop (HITL) quality operations and technical interface validation frameworks, limited to:

• Adversarial AI Diagnostics & Prompt Auditing
• Cross-Viewport UI Readiness Retainers
• Section 508 Accessibility & Interface Diagnostics
• Interface Integrity & QA Support Retainers
• Enterprise Quality Operations Partnerships

All evaluations are performed from the outside in using real-world testing scenarios and manual check matrices. We do not write production code, deploy software packages, alter internal database schemas, or provide formal legal or financial compliance certifications.

2. Operational Parameters & Service Areas

All technical validation services are executed remotely and are available worldwide. Operations are anchored directly from our regional headquarters in Winchester, Virginia. We do not provide physical on-site evaluations, in-person staff audits, or local retail mystery shopping.

3. Client Responsibilities & System Constraints

To ensure a secure and frictionless sprint deployment, clients and prime partners explicitly agree to:

• Provide accurate URL targets, documentation parameters, and testing boundaries necessary to complete the task order execution.
• Acknowledge that our evaluations are performed under a strict Zero Data Footprint security profile requiring zero internal network logins, database access permissions, or VPN credentials.
• Respond to contracts desk communication, boundary definitions, and sprint milestones in a timely manner.

4. Commercial Billing & Retainer Terms

For standard commercial enterprise clients, billing is executed as follows:

• Retainer Frameworks: Ongoing monthly quality retainers are billed on a fixed recurring schedule, due and payable on the first (1st) business day of each active billing cycle.
• Project-Based Sprints: Fixed-price custom scopes require execution of a formal Statement of Work (SOW) outlining defined project milestones.
• All commercial invoicing is processed electronically. Late balances exceeding ten (10) business days are subject to immediate work halt.

5. Federal & Public Sector Procurement Terms

For Federal Civilian prime contractors, defense vendors, state municipalities, and government entities, the following terms govern:

• Contractual Precedence: Formal Government Statements of Work (SOW), Task Orders, Subcontractor Agreements, and Federal IDIQ/GSA scheduling guidelines completely supersede any conflicting commercial terms listed herein.
• Zero Advance Deposits: No advance payments or deposits are required for validated federal or state agency contract structures.
• Invoice Routing: Invoicing is processed according to statutory prompt payment terms (e.g., Net-30 execution via eVA, Wide Area Workflow, or designated prime contractor accounting networks).

6. Enterprise Retainer Frameworks & Subcontracting

Organizations utilizing our continuous evaluation models enter into formal, fixed-duration B2B Retainer Frameworks or Multi-Year Subcontracting Agreements. These arrangements are governed strictly by the active master agreement executed between our Winchester contracts desk and the client's corporate procurement division. General retail discount codes, coupons, or consumer promotional variables do not apply to enterprise task orders.

7. Intellectual Property & Deliverable Rights

Upon receipt of final payment under an active task order, we grant the client a non-exclusive, perpetual, royalty-free license to utilize our delivered technical risk ledgers, friction matrices, and executive PDF reports for internal engineering, remediation, and proposal scoring advantages. We retain all rights, titles, and interests in our proprietary auditing methodologies, testing tools, and reporting schemas.

8. Data Security & Strict Confidentiality

We treat all client system data, target inputs, isolated bugs, and technical findings as highly confidential corporate assets. Under our Zero Data Footprint model, we do not store customer records, interface telemetry, or sensitive database profiles. We will not disclose evaluation metrics to any third party except:

• To the designated prime contractor or agency contract specialist managing the program.
• When mandated by federal law, state subpoena, or DoD regulatory compliance actions.

9. Limitations of Technical Service

Our role is to provide independent, outside-in technical insight, friction tracking, and engineering recommendations. Implementation, development, and bug remediation are the sole responsibility of the client. We do not guarantee increased revenue, absolute regulatory compliance, guaranteed software launch success, or specific agency award outcomes.

10. Limitation of Liability

To the maximum extent permitted by applicable federal and state law:

• We are not liable for any indirect, incidental, or consequential damages, including system downtime, software deployment delays, or lost prime contractor revenue.
• Our total aggregate liability under any active task order is strictly limited to the exact dollar amount paid to us for that specific service.

11. Termination & Project Cancellation

Continuous monthly retainers may be modified or terminated according to the notification windows defined in your active Statement of Work. For project-based sprints, fees are fully earned upon mobilization. Cancellations executed after technical testing cells have been deployed to the target digital parameters are non-refundable.
